Mr. Fischer is the Governance Leader of the Executive Pay & Governance business. He helps clients understand and assess their potential exposure under the multitude of corporate governance and executive compensation policies and rules established by proxy advisory firms, institutional shareholders, and regulatory agencies.

He assists companies by providing guidance on a broad range of executive compensation & governance matters including, executive & director pay levels, short- & long-term incentives, contractual employment & postretirement relationships, change in control, severance, corporate restructuring, board of directors governance consulting, proxy advisory firm & institutional investor analyses, Institutional Shareholder Services, Inc. (ISS) modeling, proxy disclosure & pay-for-performance analyses, director election & proxy proposal analyses, equity plan share authorization modeling, & technical issues related to executive & director compensation (e.g., tax, accounting, & securities rules & regulations).

Mr. Fischer has over 15 years of experience in consulting on director and executive compensation corporate governance matters, and before that specialized in tax and securities law for two major accounting firms. He has worked with hundreds of companies, ranging from large multibillion dollar public companies to smaller private organization across a wide range of industries, including financial, energy, consumer products, manufacturing, retail, insurance, pharmaceutical, technology, hospitality, and professional services. He is a frequent speaker on executive compensation and governance topics including seminars sponsored by the National Association of Stock Plan Professionals, Directors Roundtable, and various chapters of the American Bar Association, and other trade associations.

Mr. Fischer received his LL.M. in taxation from Washington University, J.D. from Southern Illinois University, and holds a B.S. in accounting from the University of Illinois. He is a certified public accountant and an attorney in Illinois and Missouri.
